Confidentiality and Mutual Release Agreement

This Non-Disclosure and Release of Liability Agreement (“Agreement”) is entered into by and between:

Party A: Dharma Pilgrimage/HÜMÜH The Jeweled Path of Living Wisdom, Clear Mind Buddhism

and
Party B: Participating Student of the Dharma Pilgrimage, an affiliated program of the Path of HÜMÜH, The Jeweled Path of Living Wisdom, Clear Mind Buddhism

Party A and Party B may each be referred to as a “Party” and collectively as the “Parties.”

1. Non-Disclosure of Confidential Information
“Confidential Information” means non-public information disclosed by either Party to the other, whether orally, electronically, in writing, or in another form, that is identified as confidential or that reasonably should be understood to be confidential under the circumstances. Confidential Information may include but is not limited to: Personal identity information; Communications between the Parties; Documents, photographs, videos, recordings, or other materials; Information concerning the circumstances giving rise to this Agreement; Personal gossip; Speaking to a journalist or news media; Publishing photographs or video through blogs and social media sites electronically; The Terms of this Agreement.

2. Confidentiality Obligations
Each Party agrees that they will: Keep Confidential Information confidential; Not disclose Confidential Information to any third party.

3. Release of Liability
Party B hereby voluntarily releases and forever discharges Party A, together with Party A’s heirs, representatives, officers, agents, employees, and assigns, from all claims, demands, damages, liabilities, obligations, and causes of action that the releasing Party has as of the effective date of this Agreement, arising out of or relating to participation in any activity or program sponsored by Party A, including visits to any property owned by Party A, or any conference facility rented by Party A, or any other location; This includes but is not limited to any negligent acts or omissions for any and all injury, death, illness or disease and including but not limited to damage to self, others or property.

Party B further agrees to hold harmless Party A’s heirs, representatives, officers, agents, employees, and assigns from all defense costs, including attorney’s fees, or from any other costs incurred in connection with claims for bodily injury or property damage which may be asserted, and if Party B negligently or intentionally causes injury or damage to spectators or other third parties in the course of participation; In addition, Party B agrees to indemnify Party A against all costs, including attorney’s fees incurred in connection with the claims of others.

Party B further agrees not to sue, assert or otherwise maintain or assert any claim against Party A, its heirs, representatives, officers, agents, employees, and assigns and all other affiliated persons or entities for any injury, death, illness or disease, or damage to self or property arising from or connected with participation or any claim asserted by spectators or other third parties.

4. No Admission of Liability
The Parties agree that entering into this Agreement does not constitute admission by either Party of wrongdoing, fault, liability, or responsibility.

5. Governing Law
This Agreement shall be governed by and interpreted under the laws of the States of Arizona and Oregon, without regard to its conflict-of-law principles.

6. Entire Agreement
This Agreement constitutes the entire agreement between the Parties concerning the subject matter addressed herein and supersedes any prior oral or written agreements concerning that subject matter.

Any amendment to this Agreement must be in writing and signed by both Parties.

7. Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.

8. Voluntary Agreement
Each Party acknowledges that they have had an opportunity to read this Agreement carefully and understand its terms.

Each Party enters into this Agreement voluntarily and without coercion or undue influence.

9. Effective Date
This agreement becomes effective between Parties A and B and on August 1, 2026.

By participating in this program, you acknowledge and agree that your participation constitutes your acceptance-of, and agreement-to be bound by the terms and conditions of this Confidentiality and Mutual Release of Liability Agreement.
